These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Lot Sketch ("Company," "we," "us," or "our") governing your access to and use of the Lot Sketch website and web application (collectively, the "Service").
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" shall include that organization.
Lot Sketch is a browser-based site planning application that allows users to create, edit, and analyze site plans including parcels, roads, buildings, parking areas, and massing zones. The Service provides real-time site metrics such as acreage, floor-area ratio (FAR), lot coverage, building square footage, and parking ratios.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will make reasonable efforts to provide advance notice for material changes.
You must be at least 18 years of age to create an account or use the paid features of the Service. By creating an account, you represent and warrant that you are 18 or older and have the legal capacity to enter into these Terms.
The Service is not directed to individuals under the age of 13. If we learn that a user under 13 has provided personal information to us, we will take steps to delete that information as promptly as possible. See our Privacy Policy for more information.
You may not use the Service if you are located in a jurisdiction where such use is prohibited by applicable law.
To access paid features, you must register for an account. When you register, you agree to:
You may maintain only one account per person. We reserve the right to terminate duplicate accounts. Account credentials are non-transferable.
Paid subscription plans are billed on a monthly recurring basis. Current pricing is displayed on the Pricing page. All prices are in U.S. dollars (USD) unless otherwise indicated.
One (1) credit is consumed each time you save a new project for the first time. Re-saving an existing project (updating it) does not consume an additional credit. Credits reset at the start of each calendar month and do not roll over or accumulate. Unused credits expire at month end.
All payments are processed by Stripe, Inc. By subscribing, you agree to Stripe's Terms of Service. By providing payment information, you authorize us (through Stripe) to charge your payment method on a recurring monthly basis until you cancel.
Your subscription begins on the date you first subscribe and renews on the same calendar date each month. If that date does not exist in a given month (e.g., the 31st), billing occurs on the last day of that month.
We reserve the right to change subscription prices. We will provide at least 30 days' advance notice of any price changes via email to your registered address. Continued use of the Service after a price change constitutes acceptance of the new pricing.
You may cancel your subscription at any time by contacting us at support@lotsketch.com or through your account settings (if available). Cancellation takes effect at the end of the current billing period. Your access to paid features will continue until that date.
All subscription fees are non-refundable except as expressly required by applicable law. We do not provide prorated refunds for partial months of service. If you believe you were charged in error, please contact us within 30 days of the charge at support@lotsketch.com and we will investigate.
Upon cancellation, your account will revert to the Free plan at the end of the billing period. You may continue to access your account and view project data on the Free plan, but saving and export features will be disabled. You may request full account deletion at any time per our Privacy Policy.
You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You agree that you will not:
We reserve the right to investigate violations of these Terms and to take any action we deem appropriate, including suspending or terminating your account, reporting activity to law enforcement, and seeking legal remedies.
The Service and its original content, features, and functionality — including but not limited to the software, source code, user interface, design, graphics, text, trademarks, service marks, and logos — are and will remain the exclusive property of Lot Sketch and its licensors. These materials are protected by United States copyright, trademark, and other intellectual property laws.
The Lot Sketch name, logo, and all related names and marks are trademarks of the Company. You may not use these marks without our prior written consent.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your personal or internal business purposes. This license does not include any right to resell or make commercial use of the Service or its contents, or to collect and use any data, descriptions, or prices.
You retain full ownership of the site plans, designs, and project data you create using the Service ("User Content"). We do not claim any intellectual property rights over your User Content.
By saving User Content to the Service, you grant us a limited, non-exclusive, royalty-free license to store, display, and process your User Content solely to the extent necessary to provide the Service to you. We will not use your User Content for any other purpose, including marketing or product development, without your express consent.

Lot Sketch is a conceptual planning tool. The site metrics and analyses provided by the Service (acreage, FAR, lot coverage, etc.) are estimates based on the geometry you draw and should not be used as a substitute for professional engineering, architectural, or legal advice. We make no representations as to the accuracy or suitability of any output for regulatory submission, construction, or any other purpose requiring professional certification.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LOT SKETCH EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
Some jurisdictions do not allow the exclusion of implied warranties; in such jurisdictions, the above exclusions apply only to the extent permitted by law.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LOT SKETCH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, including but not limited to loss of profits, loss of data, loss of goodwill, service interruption, computer damage, or system failure, arising out of or in connection with your use of or inability to use the Service — even if we have been advised of the possibility of such damages.
In no event shall our total cumulative liability to you for all claims arising out of or relating to these Terms or the Service exceed the greater of: (a) the total amount you have paid us for the Service in the twelve (12) months immediately preceding the claim, or (b) fifty U.S. dollars ($50.00).
Some jurisdictions do not allow the limitation of liability for consequential or incidental damages; in such jurisdictions, our liability is limited to the maximum extent permitted by law.
You agree to defend, indemnify, and hold harmless Lot Sketch, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
These Terms are governed by and construed in accordance with the laws of the United States and the laws of the state in which Lot Sketch is principally based, without regard to conflict of law principles.
Before initiating any formal dispute, you agree to contact us at support@lotsketch.com and attempt to resolve the dispute informally. We will attempt in good faith to resolve the dispute within 30 days of receiving your notice.
If the dispute cannot be resolved informally, you and Lot Sketch agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding individual arbitration administered by a recognized arbitration body under its applicable rules, rather than in court. The arbitration shall be conducted in English.
YOU AND LOT SKETCH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and we agree, no arbitrator or judge may consolidate more than one person's claims or preside over any form of a representative or class proceeding.
Notwithstanding the above, either party may bring an individual action in small claims court if the dispute qualifies. Either party may also seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.
You may close your account at any time by contacting us at support@lotsketch.com. Cancellation of a paid subscription is governed by Section 6 above.
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason including, without limitation, if we believe you have violated these Terms, if required by law, or if we determine that continuation of the Service is no longer commercially viable.
Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including Sections 8, 9, 10, 11, 12, and 13.

Your continued use of the Service after the effective date of any revised Terms constitutes your binding acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service and may close your account before the effective date.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lot Sketch with respect to the Service and supersede all prior agreements, understandings, representations, and warranties.
If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision will be modified to the minimum extent necessary or severed from these Terms, and the remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver of a particular breach will not constitute a waiver of any subsequent breach.
You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets.
We will not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet outages, or actions of government authorities.
We may provide notices under these Terms by posting on the Service or by email to your registered address. You may provide notices to us by email to support@lotsketch.com.
